4. Account Registration and Security

To access certain features of our Website, including order history, loyalty programs, and saved preferences, you may be required to create a user account. When registering, you agree to provide truthful and complete information and to keep such information updated.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Piada shall not be liable for any loss or damage arising from your failure to safeguard your login information.

We reserve the right to refuse registration, cancel accounts, or remove or edit content at our sole discretion, particularly in cases where we reasonably suspect a violation of these Terms or applicable law.

5. Intellectual Property Rights

All content available on cafe-piada.rest, including but not limited to text, graphics, logos, images, icons, audio clips, digital downloads, data compilations, menu designs, photographs, videos, software, and the overall look and feel of the Website (collectively, "Content"), is the exclusive property of Piada or its respective content suppliers and is protected under applicable United States intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and other applicable federal and state laws.

The Piada name, logo, branding materials, and all related marks, names, and slogans are trademarks and/or service marks of the Company. Unauthorized use of any trademark, service mark, or trade name of Piada is strictly prohibited and may constitute trademark infringement.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website and its Content solely for personal, non-commercial purposes in connection with our services. This license does not include:

  • The right to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website or its Content for commercial purposes.
  • The right to modify, create derivative works from, adapt, or translate any Content on the Website.
  • The right to reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of any software underlying the Website.
  • The right to frame or mirror any part of the Website without our express written permission.

Any unauthorized use terminates the license granted herein and may subject you to civil and criminal liability under applicable federal and state laws.

If you submit any feedback, reviews, suggestions, ideas, or other communications to us ("User Content"), you grant Piada a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media. You represent that you own or have the necessary rights to grant this license.

6. Payment Terms

All purchases made through our Website are subject to the following payment terms:

6.1 Pricing

Prices displayed on our Website are in United States Dollars (USD) and are subject to change without prior notice. Any applicable taxes, service fees, delivery fees, or other charges will be disclosed to you before you finalize your order.

6.2 Payment Methods

We accept major credit and debit cards (Visa, Mastercard, American Express, Discover), and other payment methods as specified on our Website at the time of checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge the full amount of your order to that payment method.

6.3 Order Confirmation

After placing an order, you will receive an order confirmation via email at the address provided. This confirmation constitutes acknowledgment of receipt of your order and does not constitute acceptance. Piada reserves the right to cancel or refuse any order for reasons including but not limited to item unavailability, pricing errors, or suspected fraud.

6.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. Refunds or replacements may be offered at our sole discretion in cases of quality issues, incorrect items, or other verifiable errors. To request a refund or report an issue, please contact us within twenty-four (24) hours of receiving your order at [email protected].

Orders may be cancelled only if they have not yet entered the preparation stage. Once preparation has begun, cancellations will not be accepted, and no refund will be issued.

6.5 Promotional Offers and Discounts

Promotional offers, discount codes, and loyalty rewards are subject to specific terms and conditions associated with each promotion. They may not be combined with other offers unless explicitly stated, and they may expire or be withdrawn at any time without notice.

7. Food Allergen and Dietary Information

Piada makes reasonable efforts to provide accurate information regarding ingredients, allergens, and nutritional content of our menu items. However, we cannot guarantee that any item is entirely free from allergens due to the risk of cross-contamination in our kitchen environment. If you have a food allergy, intolerance, or dietary restriction, we strongly encourage you to contact us directly before placing an order. We cannot be held responsible for allergic reactions resulting from consumption of our products where adequate notice was not provided.

8. Limitation of Liability

To the fullest extent permitted by applicable law, including the laws of the United States and relevant state statutes, Piada, its officers, directors, employees, agents, affiliates, licensors, and service providers shall not be liable for:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of or inability to use our Website or services.
  • Any loss of profits, revenue, business, data, or goodwill, even if we have been advised of the possibility of such damages.
  • Any damages resulting from unauthorized access to or alteration of your transmissions or data.
  • Any damages arising from errors, omissions, interruptions, deletion of files, delays in operation, or any failure of performance of the Website.
  • Any content posted or transmitted by third parties on or through the Website.
  • Any conduct of third-party delivery services, partners, or vendors.

In no event shall our total aggregate liability to you for all claims arising from or related to these Terms or your use of our services exceed the greater of: (a) the total amount paid by you to Piada during the three (3) months immediately preceding the event giving rise to the claim, or (b) One Hundred United States Dollars ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

9. Disclaimers

THE WEBSITE AND ALL SERVICES, CONTENT, AND MATERIALS PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE UNITED STATES LAW, PIADA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WARRANTIES AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE WEBSITE.
  • WARRANTIES THAT ANY DEFECTS IN THE WEBSITE WILL BE CORRECTED.

Piada does not warrant or make any representations regarding the results that may be obtained from use of the Website or the reliability of any information obtained through the Website.

The foregoing disclaimers apply to the fullest extent permitted by law. Some jurisdictions do not allow the disclaimer of implied warranties, so the above disclaimers may not apply to you in their entirety.

10. Indemnification

You agree to defend, indemnify, and hold harmless Piada, its officers, directors, employees, agents, contractors, licensors, service providers, subsidiaries, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service or any provision herein.
  • Your use or misuse of the Website or our services.
  • Your violation of any applicable federal, state, or local law or regulation.
  • Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or contractual rights.
  • Any User Content you submit, post, transmit, or otherwise make available through the Website.
  • Any fraudulent or deceptive conduct by you in connection with our services.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You shall not settle any claim without our prior written consent.

11. Third-Party Links and Services

Our Website may contain links to third-party websites, applications, or services that are not owned or controlled by Piada. These links are provided for your convenience only. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party sites or services. We do not endorse or warrant the offerings of any third-party entities or services.

We strongly advise you to read the terms and privacy policies of any third-party websites or services you visit. Your interactions with third-party services are governed entirely by the terms of those third parties, and Piada shall have no liability whatsoever for any harm, loss, or damage arising from your use of such third-party services.

Third-party delivery platforms (such as DoorDash, Uber Eats, Grubhub, or similar services) operate under their own independent terms of service, and any transactions completed through such platforms are subject to those terms.

12. Privacy and Data Protection

Your use of our Website is also governed by our Privacy Policy, which is incorporated herein by reference and forms an integral part of these Terms of Service. Our Privacy Policy describes how we collect, use, store, and protect your personal information in compliance with applicable United States privacy laws, including the Federal Trade Commission Act (15 U.S.C. § 45), and relevant state privacy regulations including the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), for California residents.

By using our Website, you consent to the data practices described in our Privacy Policy. We encourage you to review the Privacy Policy regularly to stay informed of any updates.

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Piada is registered to conduct business, without regard to its conflict of law principles or provisions.

Any legal action, suit, or proceeding arising out of or related to these Terms or your use of the Website that is not subject to arbitration as provided herein shall be instituted exclusively in the federal or state courts of competent jurisdiction located in the United States. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts, including any claim that such courts are an inconvenient forum.

If you are a consumer located in a state with specific consumer protection statutes, nothing in these Terms shall be construed to limit your rights under applicable state consumer protection laws.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact Piada first and attempt to resolve any dispute informally. Please send a written description of your dispute to [email protected] with the subject line "Dispute Notice." We will attempt to resolve the matter within thirty (30) days of receipt. Both parties agree to negotiate in good faith during this period.

14.2 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiation within thirty (30) days, either party may submit the dispute to binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration administered in accordance with the rules of the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect.

The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a claim was frivolous or brought in bad faith, in which case the arbitrator may award attorneys' fees to the prevailing party.

14.3 Class Action Waiver

YOU AND PIADA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. Any arbitration shall be conducted on an individual basis and not as part of a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

15. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you access or use the Website or maintain an account with us.

Piada reserves the right, in its sole discretion, to suspend or terminate your access to the Website and/or your account at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms or is harmful to other users, to us, to third parties, or for any other reason. Upon termination, your right to use the Website will immediately cease.

You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations or liabilities that accrued prior to termination.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

16. Changes to Terms of Service

Piada reserves the right to modify, update, or replace these Terms of Service at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page and, where required by law or where we deem appropriate, notify you by email or through a prominent notice on our Website.

Your continued use of the Website or our services after any such changes constitutes your acceptance of the new Terms of Service. If you do not agree to the revised Terms, you must cease using our Website and services immediately and, if applicable, delete your account.

We encourage you to review these Terms periodically to remain informed of any updates. The most current version of these Terms will always be available at cafe-piada.rest.

17. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, unenforceable, or contrary to applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, such provision shall be severed from these Terms. The remainder of these Terms shall continue in full force and effect and shall not be affected or invalidated by such finding.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision herein. If any essential term is found to be unenforceable and cannot be modified to become enforceable, both parties agree to negotiate in good faith to replace it with a valid and enforceable provision that most closely reflects the original intent of the parties.

18. Waiver

No failure or delay by Piada in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. A waiver of any default shall not constitute a waiver of any subsequent default.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Website, constitute the entire agreement between you and Piada with respect to your use of the Website and services, and supersede all prior and contemporaneous agreements, representations, warranties, understandings, and negotiations between the parties relating to the subject matter hereof, whether oral or written.

No prior drafts of these Terms shall be used in the interpretation or construction of these Terms. Any ambiguity shall not be construed against the drafter.

20. Force Majeure

Piada shall not be liable for any failure or delay in performance under these Terms resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government orders or regulations, labor disputes, power outages, internet disruptions, or any other event beyond our reasonable control ("Force Majeure Event"). In such cases, our obligations hereunder shall be suspended for the duration of the Force Majeure Event, and we will make reasonable efforts to resume normal operations as soon as practicable.

21. Electronic Communications

By using our Website or communicating with us electronically, you consent to receive communications from us electronically, including via email or notices posted on the Website. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing and promotional emails at any time by following the unsubscribe instructions included in such emails or by contacting us directly. However, opting out of marketing emails will not affect transactional communications related to your orders or account.

22. Compliance with Laws

You agree to comply with all applicable local, state, and federal laws and regulations in connection with your use of our Website and services. This includes, but is not limited to, the Federal Trade Commission Act (15 U.S.C. § 45), the Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.), the Computer Fraud and Abuse Act (18 U.S.C. § 1030), and any applicable food safety and consumer protection regulations enforced by federal and state agencies, including the U.S. Food and Drug Administration (FDA) and relevant state health departments.

23. Accessibility

Piada is committed to ensuring that our Website is accessible to all users, including those with disabilities, in accordance with the Americans with Disabilities Act (ADA) and Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, to the extent reasonably practicable.
